1. Agreement

These terms are an agreement between you and NOVAX LLC, a Missouri limited liability company that publishes TopHolding at topholding.org. By using the site or subscribing to anything on it, you agree to them. If you do not agree, please do not use the site.

2. What TopHolding is — and what it is not

TopHolding is a publisher. We produce financial news, education, and research for a general audience.

We are not an investment adviser, a broker-dealer, a financial planner, an accountant, or a law firm, and nothing on this site is personalized investment, tax, or legal advice. Everything we publish is general information distributed to all readers alike. It is not a recommendation to buy or sell any security, and it takes no account of your particular financial situation, goals, or risk tolerance. Before acting on anything you read here, consider speaking with a qualified professional who knows your circumstances.

Investing involves risk, including the possible loss of principal. Past performance does not predict future results. Any figures, forecasts, or third-party data we publish may be incomplete or become out of date.

3. Your account

You are responsible for the accuracy of the information you give us and for keeping your login credentials secure. Tell us promptly at team@topholding.org if you believe your account has been used without your permission. You must be at least 18, or the age of majority where you live, to hold a paid membership.

4. Free content and paid membership

Our journalism is free and unmetered. We do not put news articles behind a paywall.

The membership is a separate, optional product covering education, research, and data. It costs $199 per year unless a discount or promotional code applies at checkout. Membership is billed annually in advance and renews automatically at the then-current price until you cancel. We will tell you before any price change affecting your renewal.

5. Cancellation and refunds

You can cancel at any time from your account page. Cancellation stops future renewals and takes effect at the end of the period you have already paid for — you keep full access until then.

Membership fees are non-refundable. We do not offer refunds for partial periods, unused access, or a change of mind. We will of course correct genuine billing errors, such as a duplicate charge or a charge taken after you cancelled — email team@topholding.org and we will make it right. Nothing here limits any refund right you have that cannot be waived under the law where you live.

If a payment fails, we may suspend access until it is resolved.

6. Discount and referral codes

Discount codes are valid only as stated at the time they are offered, apply to the first billing period unless we say otherwise, cannot be combined unless we say so, have no cash value, and may be withdrawn or expire. We may void a code and the resulting discount if it is obtained or used in a way we reasonably consider abusive.

7. Partner program

Creators and partners who promote TopHolding are governed by the separate partner terms at topholding.org/partner/terms, which include disclosure obligations and the applicable commission schedule.

8. Content and intellectual property

Everything we publish — articles, research, data, charts, images, and the design of the site — belongs to NOVAX LLC or our licensors and is protected by copyright and other laws.

You may read, share links to, and quote short excerpts of our work with attribution and a link back. You may not republish, resell, or redistribute our content in substantial part; use it to train machine-learning models; scrape or bulk-download the site by automated means; or remove attribution or copyright notices. Membership materials are licensed to you personally for your own non-commercial use and may not be shared, resold, or posted publicly.

9. Acceptable use

Do not interfere with or attempt to gain unauthorized access to the site, its accounts, or its infrastructure; do not use the site to break the law or infringe anyone's rights; and do not misrepresent your relationship with TopHolding. We may suspend or close an account that does.

10. Third-party links

We link to outside sources so you can check our work. We do not control those sites and are not responsible for their content, accuracy, or privacy practices.

11. Disclaimers

The site is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted or error-free, or that any information on it is complete, accurate, or current.

12. Limitation of liability

To the fullest extent the law allows, NOVAX LLC and its members, officers, and contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or investment losses, arising out of your use of the site or reliance on anything published on it. Our total liability for any claim relating to the site or a membership will not exceed the greater of the amount you paid us in the twelve months before the claim, or $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnity

You agree to indemnify NOVAX LLC against claims, losses, and reasonable legal costs arising from your misuse of the site or your breach of these terms.

14. Changes to the site and these terms

We may change, suspend, or discontinue any part of the site, and we may update these terms. If we make a material change we will update the date at the top of this page and, where the change affects paid members, notify them by email. Continuing to use the site after a change means you accept the updated terms.

15. Governing law

These terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Missouri, and you and we consent to their jurisdiction.
